1. Agreement to Terms
By accessing or using VetPOP ("Platform," "Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these Terms, you may not access the Service.
VetPOP is operated by VetPOP, Inc. ("Company," "we," "us," or "our"). These Terms govern your access to and use of our veterinary practice management and call intelligence platform.
2. Service Description
VetPOP provides:
- Call Intelligence: Real-time caller identification and information display
- Fraud Protection: VetGuard Network for detecting and preventing scam calls
- Practice Management Integration: Connection with your practice management system
- Analytics and Reporting: Call analytics and business insights
- Additional Features: As described on our website and in product documentation
We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.
3. Account Registration and Security
Eligibility: You must be at least 18 years old and authorized to bind your veterinary practice to these Terms.
Account Information: You agree to:
- Provide accurate, current, and complete information
- Maintain and promptly update your account information
- Keep your password secure and confidential
- Notify us immediately of any unauthorized access
Account Responsibility: You are responsible for all activities that occur under your account. We are not liable for any loss or damage from your failure to maintain account security.
4. Subscription and Payment
Subscription Plans: VetPOP offers various subscription tiers. Pricing and features are described on our pricing page.
Billing:
- Subscriptions are billed monthly or annually in advance
- All fees are non-refundable except as required by law
- You authorize us to charge your payment method automatically
- Failed payments may result in service suspension
Price Changes: We may modify subscription prices with 30 days' notice. Changes apply to subsequent billing periods.
Free Trial: Free trials, if offered, are subject to promotional terms. We may charge your payment method automatically at trial end unless canceled.
Cancellation: You may cancel your subscription at any time. Cancellations take effect at the end of the current billing period. No refunds for partial months.
5. VetGuard Network Participation
Automatic Enrollment: All VetPOP customers are automatically enrolled in the VetGuard Network, our shared fraud prevention system.
What You Contribute: When you flag a caller as suspicious:
- Phone number (cryptographically hashed)
- Threat type and flag count
- Timestamp and geographic region (state level)
What You Receive: Real-time alerts when incoming calls match numbers flagged by other practices.
Your Responsibilities:
- Only flag genuinely suspicious or fraudulent calls
- Do not flag legitimate clients due to disputes
- Do not abuse the system for competitive purposes
- Remove flags determined to be in error
No Warranty: Flags are indicators, not confirmations of fraud. False positives may occur. Use professional judgment when handling flagged calls.
Opt-Out: You may opt out of contributing flags by contacting support@vetpop.app. You will still receive threat intelligence from other practices.
6. Acceptable Use Policy
You agree not to:
- Violate any laws or regulations
- Infringe on intellectual property rights
- Transmit malware, viruses, or harmful code
- Attempt to gain unauthorized access to the Service
- Interfere with or disrupt the Service
- Use the Service for harassment, spam, or abuse
- Reverse engineer or attempt to extract source code
- Share or resell your account access
- Use automated tools to access the Service without permission
Violation of this policy may result in immediate account termination without refund.
7. Data and Privacy
Your Data: You retain all rights to your practice data. We do not claim ownership of your information.
Data Use: We process your data as described in our Privacy Policy.
HIPAA Compliance: VetPOP is designed to avoid storing Protected Health Information (PHI). Phone numbers alone are not PHI. You are responsible for ensuring your use complies with HIPAA.
Data Backup: While we maintain regular backups, you are responsible for maintaining your own backup of critical data.
8. Intellectual Property
Our Rights: The Service, including all content, features, and functionality, is owned by VetPOP and protected by intellectual property laws.
Limited License: We grant you a limited, non-exclusive, non-transferable license to access and use the Service for your veterinary practice.
Restrictions: You may not copy, modify, distribute, sell, or lease any part of the Service or included software.
Trademarks: "VetPOP," "VetGuard Network," and our logos are trademarks of VetPOP. You may not use them without permission.
9. Third-Party Services and Integrations
VetPOP may integrate with third-party services such as practice management systems, phone providers, and shipping services.
Third-Party Terms: Your use of third-party services is governed by their own terms and policies.
No Liability: We are not responsible for third-party service availability, functionality, or compliance.
Data Sharing: Integrations may require sharing data with third parties as described in our Privacy Policy.
10. Warranties and Disclaimers
Service Availability: We strive for 99.9% uptime but do not guarantee uninterrupted service. Scheduled maintenance will be announced in advance when possible.
DISCLAIMER: THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
No Guarantee: We do not guarantee that the Service will be error-free, secure, or meet your specific requirements.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- VetPOP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
- THIS INCLUDES DAMAGES FOR LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION
- OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID IN THE 12 MONTHS PRECEDING THE CLAIM
Some jurisdictions do not allow limitation of liability, so these limitations may not apply to you.
12. Indemnification
You agree to indemnify and hold harmless VetPOP from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any rights of another party
- Your flagging of phone numbers in VetGuard Network
- Any actions by your staff using your account
13. Termination
By You: You may terminate your account at any time through account settings or by contacting support.
By Us: We may suspend or terminate your account for:
- Violation of these Terms
- Non-payment of fees
- Fraudulent or illegal activity
- Abuse of the VetGuard Network
- Any reason with 30 days' notice
Effect of Termination:
- Your access to the Service ends immediately
- We may delete your data after 30 days
- You remain liable for all fees incurred before termination
- Sections that should survive termination (indemnification, limitation of liability, etc.) will remain in effect
14. Dispute Resolution
Informal Resolution: Before filing a claim, you agree to contact us at legal@vetpop.app to attempt informal resolution.
Governing Law: These Terms are governed by the laws of [Your State/Country], without regard to conflict of law principles.
Jurisdiction: Any disputes shall be resolved in the courts of [Your Jurisdiction].

15. General Provisions
Entire Agreement: These Terms constitute the entire agreement between you and VetPOP regarding the Service.

Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
No Waiver: Our failure to enforce any right or provision does not constitute a waiver.
Assignment: You may not assign these Terms without our consent. We may assign them without restriction.
Force Majeure: We are not liable for delays or failures due to circumstances beyond our reasonable control.
